Entrepreneurs face many challenges when raising capital for their startup ventures. One crucial, but sometimes overlooked, detail is the impact of new funding on the company’s capital structure. Whether funding comes as equity or debt, the savvy entrepreneur needs to understand how it will impact the ultimate outcome for all shareholders – so the founder needs to develop a deep understanding for the mathematics of capitalization tables. Likewise, early stage investors need to be fluent in the structures of cap tables to understand the impact on their potential returns from current and future rounds of funding.

The VentureSouth Charlotte Cap Table Workshop offers entrepreneurs and investors alike a practical education in understanding the details of cap tables through the lifecycle of a startup venture. The Workshop will include a combination of presentations, exercises and a case study to illustrate common cap table mathematics a startup and its investors must consider. Among the important topics to be illuminated are the impacts of: valuation, liquidation preferences, anti-dilution terms, convertible notes, and option pools & vesting.

The seminar is hosted by Mac Lackey (Director of VentureSouth Charlotte) and run by Matt Dunbar (Managing Director of VentureSouth and Board member of the Angel Capital Association).

Asheville Angels - introduction to angel investment and new member orientation

For new members and interested prospective members, we will begin with an introduction to angel investments, and to the history and goals of Asheville Angels. We will review the record of the group since it began in 2014, and explore the kinds of companies that its members have invested in.

 We will then discuss the operations of the group in more detail. Learn how we screen and select companies, organize pitches, conduct due diligence, execute investments, and monitor and assist portfolio companies - and how this is all done as part of a network of angel groups across the Carolinas.

 We will then adjourn for drinks, questions, and further discussion about the group.
